This End User License Agreement ("Agreement") is between you ("you" or "Licensee") and Guido Pardini, a sole proprietor (P.IVA 02644510469), operating under the trade name Oibo ("we," "us," "Licensor"), for the software product SuperFind, a plugin for Adobe Illustrator (the "Software").
By installing, activating, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.
1. Definitions
- "License Key" means the unique code issued through our reseller LemonSqueezy and used to activate the Software. A License Key is either a paid key (Monthly or Annual) or a Trial License Key.
- "Trial License Key" means a free License Key valid only for the Trial described in Section 4.
- "Device" means a single physical or virtual computer on which the Software is installed and activated.
- "Trial" means the free evaluation period described in Section 4.
2. License Grant
Subject to your compliance with this Agreement and payment of the applicable fee where required, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use the Software on one (1) Device at a time, solely for your own use. The Software requires activation with a valid License Key, Trial or paid: until a License Key is activated, and whenever no active License Key is present, the Software's features remain locked.
3. License Term, Renewal, and Device Activation
3.1 The Software is offered under two paid subscription plans: Monthly (billed every 30 days) and Annual (billed every 365 days).
3.2 Subscriptions renew automatically at the end of each billing period, at the then-current price for your plan, unless you cancel before the renewal date. You can cancel at any time through the customer portal provided by LemonSqueezy, our reseller and Merchant of Record; canceling stops future renewals but does not end early the period you have already paid for. When a subscription is not renewed, whether because you canceled it or a renewal payment could not be collected, the license expires at the end of the last paid period and the Software returns to an unactivated state.
3.3 The license is bound to one Device at a time. Activating the Software on a new Device automatically deactivates the previous one; no support request is needed.
3.4 We may verify your license periodically over the internet through our licensing server. If verification fails beyond the offline grace period described in our support documentation, the Software may stop functioning until connectivity is restored.
4. Free Trial
4.1 A free 5-day Trial is available once per Device, with full access to the Software's features. To start it, you complete a checkout at a price of zero through our reseller LemonSqueezy, which issues a Trial License Key to the email address you provide. No payment card or other payment information is collected for the Trial.
4.2 The Trial is limited to one per Device. To enforce this limit we use a hashed device identifier, as described in our Privacy Policy. Attempting to obtain more than one Trial for the same Device is a breach of this Agreement.
4.3 At the end of the Trial, the Trial License Key expires and a paid License Key is required to continue using the Software.
4.4 The Trial is provided with no warranty of any kind; Section 10 applies in full.
5. Restrictions
You agree not to: (a) copy, modify, or create derivative works of the Software beyond what this Agreement permits; (b) reverse engineer, decompile, or disassemble the Software, except where such restriction is prohibited by applicable law; (c) share, sell, sublicense, or otherwise transfer your License Key or rights under this Agreement; (d) remove or alter proprietary notices; (e) use the Software unlawfully.
6. Ownership
The Software is licensed, not sold. We and our licensors retain all right, title, and interest in it, including all intellectual property rights. This Agreement grants no rights to our trademarks or trade names.
7. Third-Party Components
The Software includes the Plus Jakarta Sans typeface, licensed under the SIL Open Font License, Version 1.1 (https://scripts.sil.org/OFL).
8. Fees and Payment
Fees are as listed on our website at time of purchase. All purchases are processed by LemonSqueezy, Inc. as our authorized reseller and Merchant of Record; your payment details are handled under LemonSqueezy's own terms and privacy policy. Prices include any applicable taxes, which are calculated, collected and remitted by LemonSqueezy as Merchant of Record, as required by law.
9. Refunds
The Software is a digital product delivered immediately upon purchase, and each subscription renewal delivers continued access for a new billing period. Because a free 5-day Trial lets you evaluate the Software beforehand, purchases and renewals are final and non-refundable except where required by mandatory statutory consumer law, or where LemonSqueezy, as Merchant of Record, decides otherwise, within 60 days of purchase, at its own discretion. 10. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Nothing here excludes warranties that cannot lawfully be excluded under applicable consumer law.
11. Limitation of Liability
To the maximum extent permitted by law, our total aggregate liability under this Agreement shall not exceed the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including loss of data or profits. Nothing here limits liability that cannot be limited by law (for example, death or personal injury caused by negligence, or fraud).
12. Termination
This Agreement terminates automatically at the end of your license term or immediately upon breach. Sections 6, 7, 9, 10, 11, and 14 survive termination.
13. Legal Capacity
By accepting this Agreement, you represent you have the legal capacity to enter into a binding contract, and, if accepting on behalf of an organization, the authority to bind it.
14. Governing Law and Jurisdiction
This Agreement is governed by Italian law. Disputes are subject to the exclusive jurisdiction of the Court of Florence, Italy, without prejudice to any mandatory consumer protection rights under the law of your country of residence if you qualify as an EU consumer.
15. Changes to this Agreement
We may update this Agreement; the current version is always available on our website and, where applicable, in the Software. Continued use after an update constitutes acceptance.
16. Entire Agreement; Language
Together with our Privacy Policy and Terms of Sale, this constitutes the entire agreement between you and us regarding the Software. It is currently published in English only; an Italian version may follow for reference.
